Code of Conduct for Suppliers

Introduction

For Ronovatec long-term cooperation, mutual obligations, sustainability and social responsibility are important guiding principles. These principles drive our procurement policies for raw materials, semi-finished products, finished products and services. We expect our suppliers to comply with them. This Code applies to all Ronovatec suppliers globally. The requirements of this Code extends to all employees of the supplier, regardless of their position or relationship with the supplier. Therefore, this Code also applies to employees who are employed informally, on a temporary or part-time basis. Suppliers will, where reasonable and possible, actively work to ensure that their suppliers or sub-suppliers also comply with the guidelines of this Code. Ronovatec may explicitly require suppliers to ensure that this Code is also adhered to by selected suppliers. Compliance with this Code is a mandatory element for any type of business relationship between Ronovatec and its suppliers.

Ronovatec also engages itself to:

  • also comply with the conditions applicable to suppliers in accordance with these guidelines

  • actively work with suppliers to promote these policies

  • communicate transparently with suppliers

Suppliers' obligations

Compliance with Laws

Regional, national and international laws affecting supplier operations must be fully complied with.

Protection of human rights

Suppliers agree to respect the human rights of their employees. No employee shall be discriminated against by the supplier or any other employee with respect to nationality, religion, age, ethnic origin, gender or sexual orientation. Child labour and forced labour are strictly prohibited.

Employees should have the right to organise into unions or join an association of their choice without restriction or consequence.

Health and Safety in the Workplace

Suppliers must ensure that their employees work in a safe and healthy environment with, at a minimum, protection from fires, accidents and hazardous substances. Adequate sanitary conditions, health and safety guidelines must exist and be followed.

Environmental Protection

Suppliers shall strive, through initiative and responsible management, to minimise adverse environmental impacts of their activities, products and services, such as:

  • Waste reduction

  • Improving energy efficiency

  • Minimising and safely storing hazardous substances

  • Use of environmentally sound technologies

High integrity

High integrity must be an integral part of the company's philosophy. In this sense, the supplier is obliged to:

  • Refrain from bribes or other unfair methods to influence the public, public officials, the judiciary and/or representatives of other business partners

  • not to provide any employee of Ronovatec with benefits in any way, such as free products and services (e.g. hotel accommodations), in order to positively influence business with Ronovatec

  • refrain from activities that negatively affect free competition, including cartels and price-fixing agreements

  • respect international intellectual property rights

Application and monitoring

The standards and guidelines contained in this Code must be communicated to all employees of the Supplier to the extent that they are not already part of the Supplier's own code. At Ronovatec's request, Supplier must make appropriate records to demonstrate compliance with the Code.

Ronovatec will monitor its supplier's compliance with this Code. The appropriate assessment may be made both through a self-assessment form and through on-site inspections. Whenever Ronovatec deems it necessary, an on-site audit will be conducted in coordination with the supplier. Ronovatec will keep the findings obtained in the process secret and will not pass them on to third parties. The frequency and content of these supplier audits will depend on the nature of the business relationship involved and the risk profile of the manufacturing processes or services affected.

Non-compliance

Any non-compliance on the part of the supplier with the provisions contained in this Code will be considered a material breach of the contractual agreements. If the supplier does not eliminate this non-compliance despite being requested to do so, Ronovatec is authorized to terminate the cooperation with immediate effect.

Ronovatec does not tolerate discrimination or sanctions with regard to persons who in good faith report violations of the principles of this Code.
